General Terms and Conditions
Carpet Works

Article 1 General
1.1. Definitions:
a. Carpet Works: the user of these general terms and conditions;
Sole proprietorship registered with the Chamber of Commerce under number 51743345,
located at Laan van Waalhaven 35, 2497GN The Hague.
b. Client:
the natural or legal person entering into an agreement with Carpet Works.
c. Agreement: the contract between the client and Carpet Works.
1.2. These general terms and conditions apply to all agreements concluded by the client with Carpet Works. The applicability of any purchasing or other terms and conditions of the client is expressly rejected.
1.3. Any deviations from these general terms and conditions are only valid if they have been expressly agreed upon in writing.
1.4. If one or more provisions of these general terms and conditions are invalid or are annulled, the remaining provisions of these general terms and conditions will remain fully applicable. Carpet Works and the client will then consult with each other to agree on new provisions to replace the invalid or annulled provisions, whereby, as far as possible, the purpose and intent of the original provision will be taken into account.

Article 2 Execution of the assignment.
Carpet Works ensures that the execution of the assignment is carried out in accordance with the required standards of care and quality.

Article 3 Delivery time.
3.1. The delivery times provided by Carpet Works should not be considered as strict deadlines.
3.2. The delivery time starts from the moment the client receives a written or electronic confirmation from Carpet Works.

Article 4 Obtained information and documents.
The client must use the obtained information and documents solely for the purpose of their own business (in the case of a legal entity) or in the private sphere (in the case of a natural person). It is not allowed to disclose, reproduce, or sell this information and documents in any form.

Article 5 Price.
5.1. The prices quoted are in euros and exclusive of VAT, unless otherwise indicated.
5.2. In general, the prices provided (such as prices mentioned in previous orders, quotations, on the website, or in advertisements) may be changed by Carpet Works at any time. For ongoing agreements, the price agreed upon in writing in the contract will apply.

Article 6 Payment.
6.1. Payment must be made within 14 days of the invoice date, in a manner indicated by Carpet Works on the invoice.
6.2. In case of non-payment or late payment, the client will owe statutory interest on the outstanding amounts from the due date of the invoice until the day of full payment. Furthermore, all judicial and extrajudicial costs incurred to collect the payment will be borne by the client.
6.3. The delivered goods remain the property of Carpet Works until the full invoice is paid. The client is also obliged to make timely payment of the invoice from Carpet Works.

Article 7 Liability.
7.1. Carpet Works cannot guarantee the complete accuracy and completeness of the provided information and documents. Therefore, except in case of intent or gross negligence, Carpet Works is not liable for damages resulting from inaccuracies, incompleteness, or unlawfulness of the content of the service(s) provided by Carpet Works.
7.2. Carpet Works is not liable for the consequences of using the provided information and documents. Carpet Works does not guarantee that the provided services will achieve the desired result.
7.3. The client is responsible for providing all data that Carpet Works indicates as necessary for the execution of the assignment in a timely manner. If the client fails to provide this data, Carpet Works is not liable for the resulting damages. If the necessary data for the execution of the assignment is not provided to Carpet Works.
7.4. Carpet Works shall not be liable for any damages of any kind resulting from Carpet Works relying on incorrect and/or incomplete information provided by the client, unless the incorrectness or incompleteness should have been known to Carpet Works.
7.5. Carpet Works shall not be liable for consequential damages, lost profits, savings, or damages due to business interruption.
7.6. If, nevertheless, Carpet Works is liable, its liability is limited to the maximum invoice value of the (part of the) agreement from which the liability arises.
7.7. All claims against Carpet Works that are not submitted to Carpet Works within 2 years after their occurrence shall be time-barred.

Article 8 Force Majeure
8.1. In the event that the performance of the assignment becomes impossible due to force majeure, Carpet Works will be released from its obligations under the agreement.
8.2. Force majeure also includes circumstances beyond the control or reasonable control of Carpet Works.

Article 9 Complaints Procedure
9.1. Complaints must be submitted to Carpet Works in writing or electronically within 30 days after receipt of the delivered goods. Failure to do so will result in the loss of the opportunity to file a complaint.
9.2. If a complaint is justified, Carpet Works will perform the work as agreed, unless it has become demonstrably futile for the client. The client must communicate this in writing or electronically. If the performance of the agreed work is no longer possible or meaningful, the invoice from Carpet Works will be adjusted to a lower amount or reduced to zero. In such a case, Carpet Works shall only be liable within the limits of Article 7 of these general terms and conditions. Shading is excluded from the warranty.

Article 10 Miscellaneous
10.1. Carpet Works is always entitled to refuse to process an assignment.
10.2. If the client has applied for a moratorium on payments or is in a state of bankruptcy, Carpet Works is entitled to terminate the agreement immediately.
10.3. Carpet Works is obliged to maintain confidentiality regarding any data received from the client, except to the extent that any legal provision obliges Carpet Works to disclose such information.
10.4. The wool studio has the right to remove and destroy files and all documents contained therein, including documents belonging to the client, from the archives without further notice, if 3 years or more have passed since Carpet Works performed the assignment.
10.5. The legal relationship between the client and Carpet Works is exclusively subject to Dutch law.

Article 11
11.1. In the case of rental or consignment of carpets and/or accessories from Carpet Works, the client shall ensure their proper use and minimize damage and/or theft of the carpets and/or accessories. The duration of the rental or consignment of carpets and/or accessories is specified in the agreement.
11.2. The utility services, namely gas, water, and electricity, shall be present in the client's premises and shall be used by the wool studio at the client's expense.
11.3. In the event that the carpets and accessories are damaged or stolen due to the negligence of the client, the resulting damages shall be the responsibility of the client.
